A Clear, Honest Process
from First Call to Close.
We keep it transparent, so you always know where things stand.
What Makes Us Different
Price Certainty
The number we agree to at the letter of intent is the number we close on.
A Closing Date You Can Count On
We aim to close within 60 to 90 days, not drag it out.
Grounded, Honest Valuations
We are methodical up front, so the number does not change later. While some buyers may overpromise just to get your signature, we do not.
Our Process
1. Discovery
2. Business & Financial Review
3. Valuation
4. Letter of Intent
5. Diligence & Close
1. Discovery
Discovery
A conversation, not a pitch. We learn what you have built and what you want to happen next, whether that is retiring, stepping back, or something you have not decided yet. You ask us whatever you want. No obligation, and nothing leaves our team.
We would rather find out early that we are not a fit than three months into diligence.
2. Business & Financial Review
Business and Financial Review
We sign a mutual NDA and you send us two to three years of financials. If your books are not perfectly clean, tell us. Most owner-operated businesses are not, and it does not disqualify you. This is also where we learn how the business actually runs, rather than how it looks on paper.
Whatever gets held back here surfaces in diligence, and the number moves then instead.
3. Valuation
Valuation
We build a valuation and walk you through it line by line. You see what we treated as recurring earnings, what we adjusted, and what multiple we applied. If there is a gap between what you are expecting and what the business supports, you hear it here rather than later.
A valuation you do not understand is a valuation you cannot trust.
4. Letter of Intent
Letter of Intent
The LOI sets out price, structure, what happens with your real estate, your role after closing if you want one, and the timeline. Signing it means you stop talking to other buyers while we finish diligence.
Exclusivity is the biggest thing you give up. What you get back is a commitment to the price, not an option to renegotiate it.
5. Diligence & Close
Diligence and Close
A third-party accounting firm reviews the financials while we confirm licensing, insurance, the lease and key contracts. You get the full request list up front rather than a drip of emails over six weeks. In parallel we plan the transition, including how and when you inform your key stakeholders.
We close within 60-90 days because most of the hard work happens before the LOI, not after.
What You Will Need
- Clean, categorized financials.
- Details on your operations and facility.
- Real estate with runway, leased or owned.
